1. Definitions & Application of Terms
1.1 Definitions
- Additional Services: services supplied by Infiinite other than those included as part of Support Services.
- Annual Support Charge: the annual charge for the provision of Support Services specified in the Order Form.
- Conditions: the terms and conditions set out herein.
- Customer: the party whose details are set out in the Order Form or purchasing via the Infiinite Webstore.
- Daily Rate: the price of one day (of no more than 8 hours) of Training and/or Installation.
- Goods: hardware, Infiinite Software, and Third-Party Software supplied to the Customer.
- Infiinite: Infiinite Limited, 18 Waterclose Way, Whiteley, Fareham, PO15 7QS.
- Support Term: the term for which Support Services are to be provided commencing on the Installation Date.
1.2 Interpretation & Application
These Conditions, together with the Order Form or Webstore order, constitute the Contract between the Customer and Infiinite. They apply to the provision of Goods, Installation, and Support Services to the exclusion of all other terms (including any terms or conditions which the Customer purports to apply under any purchase order, specification, or other document). Acceptance of delivery of Goods shall be deemed conclusive evidence of the Customer's acceptance of these Conditions.
Where we provide a supply of goods or services to you, you acknowledge that each contract is divisible. Each delivery or period of work shall be invoiced and payable separately, without reference to any defect or default in any other instalment.
1.3 Service Brands & Brand Offerings
Infiinite Limited organizes its commercial service catalog, logistics operations, and product divisions under several dedicated brand identities. These brand classifications include:
- InfiiniNet: Business Leased Lines, FTTP/SoGEA broadband, and 5G cellular failover[cite: 1].
- InfiiniTalk: Unified VoIP telephony, SIP trunking, and cloud PBX platforms[cite: 1].
- InfiiniRoam: Business mobile network tariffs, SIM management, and mobile data services[cite: 1].
- InfiiniDesk: Managed IT support, helpdesk, and network systems engineering[cite: 1].
- InfiiniFlex: Technology as a Service (TaaS) hardware leasing and infrastructure scaling[cite: 1].
- InfiiniMend & InfiiniTest: Device repair services and electrical PAT safety compliance testing[cite: 1].
- InfiiniSupply & InfiiniCloud: Enterprise hardware procurement, cloud hosting, DNS, and M365/Workspace licensing[cite: 1].
- InfiiniDispatch: Internal logistics branding utilized for hardware dispatch, returns, and carrier shipments via third-party couriers (including UPS and DHL). Note: InfiiniDispatch represents internal shipping operational branding and is not a stand-alone courier service sold to third parties.
The above brand identities represent operational classifications and service divisions of Infiinite Limited and do not constitute separate legal entities or partnerships. All proposals, quotes, Order Forms, shipments, and contracts incorporating any Infiini brand offering are entered into exclusively with Infiinite Limited, which retains all legal rights, obligations, and invoicing responsibilities.
2. Hardware & Software Supply
2.1 Hardware Delivery & Risk
All Goods are supplied subject to Infiinite’s prior approval of the Buyer’s credit. Delivery dates are approximate only, and time of delivery shall not be of the essence. The Goods shall be kept at the Customer’s risk from the time of delivery.
Ownership of the Goods shall not pass to the Customer until Infiinite has received in full (in cash or cleared funds) all sums due to it. Until ownership has passed, the Customer shall hold the Goods as Infiinite’s Bailee, store them separately, keep them readily identifiable, and maintain them insured on Infiinite’s behalf. The Customer grants Infiinite an irrevocable licence to enter any premises to inspect or recover the Goods if the right to possession terminates.
2.2 Third-Party Software
All Third-Party Software is supplied subject to the applicable End User Licence Agreement (EULA). The Customer undertakes to comply with all EULA terms and shall indemnify Infiinite against all costs, claims, and expenses arising from a failure to observe them. Infiinite does not warrant that Third-Party Software shall be uninterrupted or error-free.
2.3 Infiinite Software Licence
Infiinite grants a non-exclusive, non-transferable licence to use Infiinite Software solely on authorised Terminals located at the Customer's Premises. The Customer shall not reverse engineer, decompile, disassemble, distribute, or make unauthorised copies of the Software. All copyright and intellectual property rights remain the property of Infiinite.
3. Support & Hosted Services
3.1 Scope of Services
Telephone support is provided between 8:00 am and 6:00 pm, Monday to Friday (excluding public holidays in England & Wales). Infiinite shall use reasonable endeavours to repair hardware faults, software faults, or hosted platform issues upon notification.
Exclusions: Obligations do not apply if the Customer is not using the latest software versions, if hardware is moved without consent, located in an unsuitable place, damaged by external causes, connected to unapproved equipment, or if faults arise from misuse or operator error.
3.2 Commencement and Duration
The Support Term commences on the date specified and continues for an initial term of one year (three years for third-party hosted services). The Contract automatically renews for subsequent one-year terms unless terminated by either party giving 3 calendar months’ written notice prior to the anniversary date. If the Customer terminates early, no element of the Annual Support Charge shall be refunded.
3.3 Service Dependencies
Infiinite’s obligation to perform Support Services requires the Customer to: operate systems using competent staff, adequately back up data, allow remote or physical access to premises, take health and safety precautions for Infiinite personnel, and notify Infiinite prior to changing Operating Systems.
4. Financial & Payment Terms
4.1 General Payment Provisions
Invoices must be paid in full within 30 days of receipt, except Support Contracts which are payable in advance. 40% of the total purchase price for Goods is payable upon Order Form acceptance, with the balance due on delivery. Time for payment shall be of the essence.
If the Customer fails to pay on the due date, Infiinite may charge interest at 8% above the base lending rate of Clydesdale Bank PLC (trading as Virgin Money), accruing daily and compounding quarterly, alongside statutory claims under the Late Payment of Commercial Debts (Interest) Act 1998.
5. Warranties, Liability & Governance
5.1 Warranties
Infiinite warrants that Goods correspond to their specification upon delivery and that Support Services will be carried out with reasonable skill and care. Infiinite is not liable for defects arising from fair wear and tear, wilful damage, negligence, or unauthorized alterations. In the event of a breach, Infiinite may repair, replace, or refund the Goods at its sole discretion.
5.2 Termination & Default
The Customer shall keep in strict confidence all technical know-how and commercial information disclosed by Infiinite. Infiinite may terminate the Contract immediately if the Customer commits a material breach (unremedied after 30 days), enters administration, ceases trading, or undergoes a change of control. Upon termination, all unpaid invoices become immediately due.
5.3 Force Majeure & Governing Law
Neither party shall be liable for failure to perform due to events beyond reasonable control (acts of God, strikes, utility failures, or government restrictions). These Conditions are governed by English law, and the parties submit to the non-exclusive jurisdiction of the English courts.
6. Returns, Hardware Warranty & RMA Policy
This section governs all webstore purchases, physical hardware returns, repair requests, and Return Merchandise Authorisations (RMA) across the Infiinite ecosystem.
6.1 Consumer Returns (Consumer Contracts Regulations)
Individual consumer purchases made via the online store are subject to the UK Consumer Contracts Regulations (Long Distance Selling Rules):
- 14-Day Cancellation: Consumers have the right to cancel their online order within 14 days of receiving the goods.
- Short-Term Right to Reject (30 Days): Consumers retain a short-term right to reject goods if they discover a fault, defect, or inaccuracy in description within 30 days of receipt.
6.2 Business-to-Business (B2B) Returns
Returns for commercial and business transactions are not automatically guaranteed under Consumer Distance Selling rules. B2B returns are accepted at Infiinite's sole discretion and must be discussed directly with our logistics team via [email protected].
6.3 Return Request & RMA Process
All returns—whether consumer or business—must adhere strictly to the following process:
- Initiate Request: Submit a Return Request within 14 days of receiving the product via our online portal at
weareinfinite.uk/resources/repairs-returns/. - Review & Approval: Our logistics desk will review your submission and issue an email status update within 3 business days.
- RMA Issuance: Approved returns will be issued an official Return Merchandise Authorisation (RMA) number. Returns received without a valid RMA number will be rejected.
- Dispatch: Securely package the goods incorporating your RMA number and send them to the designated return address provided in your confirmation instructions.
6.4 Return Packaging & Product Condition
Items must be returned complete with all original packaging, manuals, power supplies, and accessories. Items opened for inspection before changing mind must be repacked securely in their original box. Infiinite reserves the right to refuse returns or apply deductions if items arrive damaged or in a non-resalable condition.
6.5 Refunds & Deductions
Upon receipt and technical inspection, you will receive email notification of refund approval or rejection. Approved refunds will be credited to the original payment method within 5–7 business days. Where applicable, agreed deductions (such as restocking fees or damaged packaging allowances) will be communicated prior to processing. Exchanges are not offered directly; clients must return the original item and place a new order.
